Latitude is seeking a highly skilled Employee Benefits and Executive Compensationattorney with experience in executive compensation, 409A compliance, and equity-based incentive plans to join a premier practice at a respected law firm. The ideal candidate will bring significant experience counseling clients on the design, drafting, and taxation of executive compensation arrangements, with a strong foundation in the applicable regulatory framework.
This is an exciting opportunity for a sophisticated practitioner to work on high-level matters involving executive employment and severance agreements, equity and non-equity compensation structures, and, if possible, public company disclosure obligations and transactional support. The attorney will work closely with business leaders and legal professionals to provide strategic guidance on compensation planning, compliance, and corporate governance matters.
Advise on compliance with Section 409A , including corrections
Draft and negotiate executive employment and severance agreements
Design and draft executive compensation arrangements, including:
Equity compensation (stock options, stock appreciation rights, restricted stock, restricted stock units)
Non-equity compensation arrangements
Equivalent compensation structures for LLCs
Advise on and draft profits interest arrangements , including tax considerations
SEC proxy disclosure and other public company reporting of executive compensation arrangements
Supporting M&A transactions with respect to employee benefits and executive compensation issues
Minimum of 6 years of relevant law firm and/or in-house experience
Deep knowledge of executive compensation, ERISA, and tax compliance
Experience working with both private and public companies
Licensed to practice law and in good standing in Georgia
J.D. from an ABA-accredited law school
Exceptional written, analytical, and communication skills
Proven ability to manage complex matters independently and collaboratively
